1. AGREEMENT & ELIGIBILITY
By using this application ("Simple Downline"), you accept these Terms of Use. You must be at least 18 years of age to register. Simple Downline is owned and operated by Simple Downline Inc., a Texas-based company. We may modify these terms at any time; continued use constitutes acceptance.
2. THE SERVICE & ISV STATUS
Simple Downline Inc. is an Independent Software Vendor (ISV) providing a platform for organizational management. We do not initiate communications. The Service is a tool used by you to manage your own business communications. Simple Downline Inc. is not affiliated with, endorsed by, or partnered with Young Living Essential Oils ("Young Living").
3. REGISTRATION & YOUNG LIVING INTEGRATION
To use this Service, you must have a valid account with Young Living. You agree to allow us to import certain account information via the Young Living authentication process. You are responsible for maintaining the accuracy of your information. We reserve the right to terminate access if information provided is untrue or inaccurate.
4. USER-INITIATED AUTOMATION & RESPONSIBILITY
All messaging campaigns (SMS, MMS, and Email) are initiated solely by your affirmative action. By "turning on" or "enabling" a campaign, you are directing the Service to transmit messages to your contacts. You acknowledge that no messages are sent by the Service autonomously.
5. PROHIBITED CONDUCT
In using this Application, you agree NOT to:
- Defame, abuse, harass, or stalk others.
- Violate any applicable laws or regulations, including the TCPA and Texas SB 140.
- Engage in spamming or flooding.
- Modify, adapt, sublicense, translate, sell, reverse engineer, decompile or disassemble any portion of this Application.
- Harvest or collect information about users without their express consent.
6. COMPLIANCE & AUDIT TRAILS
You warrant that you have "Prior Express Consent" to contact every individual in your database.
Audit Trail: You acknowledge that Simple Downline Inc. maintains logs of contact imports, IP addresses, and message history to assist in documenting consent.
Opt-Outs: You must honor all "STOP" or "Unsubscribe" requests. The Service provides automated tools for this, but the ultimate responsibility for compliance rests with you.
7. PURCHASES & NO REFUNDS
You agree to pay all charges incurred at the prices in effect when such charges are incurred. You authorize us or our third-party payment processor to automatically charge recurring payments. You may cancel your subscription at any time, but refunds are only issued if required by law.
8. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY
THIS APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SIMPLE DOWNLINE INC. DISCLAIMS ALL WARRANTIES, INCLUDING ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA OR PROFITS) ARISING FROM YOUR USE OF THIS APPLICATION. OUR MAXIMUM LIABILITY IS LIMITED TO THE AMOUNT YOU PAID TO US.
9. INDEMNIFICATION
You agree to indemnify and hold Simple Downline Inc. and its officers harmless from any claims, damages, or legal fees (including TCPA fines) arising from your breach of these Terms or your activities in connection with this Application.
10. GOVERNING LAW & VENUE
These Terms are governed by the laws of the State of Texas. You agree to submit to the exclusive jurisdiction of the courts located in Tarrant County, Texas.
